Create a separate account that matches this person's login name/password, and is different from other users. Give only this user and your local account(s) access to the folder in question. The other users will not have access to the folder.

Sharing permissions and security permissions are two completely different - and discrete - things.
Shared folders are shared with all computers on the network. There is no way to share with a subset of computers.
You can, however, set up the security permissions so that another user would have to log on to the W2K box in order to access a folder.

Do either of the PCs have a firewall other than the Windows firewall?

I take it then that this cant be done. This folder has never been shared & therefore never will be. Any user wishing to access any shared folders on this pc, already has to log on to it. I just wanted only one other pc to be able to access a particular file. Ah Well.
Thanks for the help

Now you need to check the permissions on the share on A to make sure that B's user is included.

I've not tried this yet, my main comp has been down for a few days, I've just got round to sorting it. Hopefully it will be back on line for Monday. When it is, I'll try this & see if I get the same results. In the meantime, is there any reason that this didnt work for Advait?

With situations like this sometimes the firewall is in the way. I'd try turning off ZoneAlarm or adding the IP address of the other computer to the trusted zone in ZoneAlarm.
